Can US Investors Buy Tokenized Stocks? Who Can Buy What (2026)

Most stock tokens marketed today exclude Americans, while new US routes are approved but not confirmed live. Product by product: who can buy, where, under which investor class, and what the SEC’s September 2026 exemption does and does not allow.

Published Updated 9 min readHow we research

Key takeaways

  • As of Oct 26, 2026, mostly no. Robinhood Stock Tokens, xStocks and Ondo Stocks are not offered to US persons, according to each issuer’s own terms.
  • US routes exist on paper: the SEC approved Nasdaq’s tokenized-share rule on Mar 18, 2026 and granted a conditional five-year exemption for tokenized-stock venues on Sept 17, 2026. Neither was confirmed live for investors on Oct 26, 2026.
  • The exemption is not a blanket approval. Tokens must carry the same rights as the share, synthetic products are excluded, and each venue and its affiliated venues, counted together, face limits of 75 Tier 1 symbols and 250 Tier 2 symbols, plus the applicable trading-volume limits.
  • What US individuals can already buy is narrower: some SEC-registered funds record shares on blockchains. Franklin Templeton’s on-chain government money fund takes individuals through its app with a $20 minimum for most accounts.
  • For plain exposure to a US stock, a regular brokerage share or ETF remains the simplest route, with full shareholder rights and SIPC coverage for missing assets.

Can Americans buy tokenized stocks?

Generally not yet, if you mean the stock tokens advertised by crypto apps. The largest retail products state in their own terms that they may not be offered or sold to US persons, because they are not registered under the US Securities Act. The US has built legal routes for tokenized shares in 2026, but on Oct 26, 2026 none had been confirmed as open to individual investors.

Eligibility is never a single yes or no. It depends on four things: the product, the issuer’s jurisdiction and where it is sold, the investor class (retail, accredited, qualified purchaser, professional or non-US person), and the date, because terms and rules are moving month by month. This page answers each, with the date on every row.

Scope: tokenized stocks and ETFs, plus tokenized funds where they are the realistic US alternative. It does not cover crypto coins, pre-IPO tokens or tax filing. Education, not legal or investment advice. What these tokens legally are is explained in tokenized stocks: do you actually own the share?, and the wider market in what is tokenization?

Who can buy which tokenized product?

From issuers’ own pages and SEC orders. “US persons: no” means the issuer says the product is not offered to them, whatever an app or reseller suggests.

Investor classes in plain terms: a US person is broadly a US resident or US entity, and offshore tokens sold under Regulation S must not be sold to them. Accredited investors and qualified purchasers pass SEC wealth or income tests and can buy some private offerings that ordinary retail investors cannot. Professional investors is the EU and UK equivalent. If a product needs one of these and you do not meet it, a platform that lets you buy anyway does not change the issuer’s terms; it may leave you unable to redeem. Tokenized Treasury funds are compared in tokenized Treasury funds explained.

Did the SEC approve tokenized stocks in September 2026?

It approved a conditional path, not tokenized stocks in general. On Sept 17, 2026 the SEC granted a five-year “Innovation Exemption” that lets Tokenized Securities Venues trade tokenized NMS stock (shares of US-listed companies) through automated liquidity pools without registering as exchanges (SEC press release 2026-90). The conditions, from the order itself:

Condition (SEC order 34-106402)What it means for an investor
Same rights and privileges as the regular share: same interest, dividends, voting and share of assets in liquidationPrice-only tokens cannot trade under it
Excludes third-party synthetic exposure, such as tokenized linked securities and security-based swapsMost of today’s offshore-style products would not qualify
Tier 1 (S&P 500, Russell 1000, eligible ETPs): at most 75 symbols and 0.25% of prior-month average daily share volumeLimited choice and small size per venue; affiliated venues count together
Tier 2 (all other listed stocks): at most 250 symbols and 2.5% of prior-month average daily share volumeRepeat breaches force a three-month pause in that stock
Third-party tokens need written notice to the company and a chance to objectA company can block third-party tokens of its shares
Venue must publish a notice at least 30 days before operatingWatch for these notices; none found as of Oct 26, 2026
No primary issuance or IPOs on a venue; no relief under the Investment Company ActSecondary trading only; eligible ETPs may qualify. The order does not grant Investment Company Act relief
Permissioned access with identity checks; participants may include retail investorsRetail access is possible, through the venue’s own onboarding
Expires five years after publicationAn interim step; the SEC asked for public comment on next steps

When will Nasdaq and DTC tokenized stocks go live?

No confirmed date as of Oct 26, 2026. The SEC approved Nasdaq’s rule on Mar 18, 2026: a tokenized share would trade on the same order book, with the same priority, symbol and CUSIP as the regular share, but only during DTC’s tokenization pilot and only once DTC’s systems are ready (SEC order 34-105047). Eligible securities are limited to Russell 1000 stocks and ETFs tracking major indexes, and the participants are DTC member firms, not individuals directly.

DTCC processed its first production trades with tokenized assets on Jul 15, 2026, with more than 30 firms, and said the service was scheduled to launch in October 2026 (DTCC). We found no launch announcement on DTCC’s site on Oct 26, 2026. Even after launch, a US individual would reach these tokens only if their own broker participates and offers it. Because a DTC-tokenized share is the same security, it would sit in a brokerage account like any other share. How clearing and custody fit together is covered in how the financial system works.

How much could a venue trade under the exemption? A worked example

The volume caps keep early venues small. Hypothetical volumes, to show how the order’s thresholds work for one stock in each tier:

StepTier 1 stock (e.g. an S&P 500 member)Tier 2 stock (smaller listed company)
Hypothetical average daily share volume last month40,000,000 shares2,000,000 shares
Threshold in the order0.25%2.5%
Threshold in shares: volume × threshold40,000,000 × 0.0025 = 100,0002,000,000 × 0.025 = 50,000
At a hypothetical $200 share price100,000 × $200 = $20 million50,000 × $200 = $10 million
If the venue keeps exceeding itPause trading in that token for three monthsPause trading in that token for three months

The point is scale: a venue can offer a meaningful amount per stock, but on Tier 1 names it stays a small fraction of normal trading, so the regular market keeps setting the price. The exact way volume is counted against the threshold is set in the order; this example uses round numbers for the arithmetic only.

Why can Europeans buy stock tokens when Americans cannot?

Because the issuers chose to register or passport their products in Europe and not in the US. In the EU, tokenized shares are financial instruments, so they fall under securities law (MiFID II and the prospectus rules), not under the crypto-asset regulation MiCA, which excludes financial instruments from its scope (Regulation (EU) 2023/1114, Art. 2(4)). Ondo, for example, offers its tokens in the EU under a prospectus approved by Liechtenstein’s regulator, and limits some to professional investors. Robinhood launched stock tokens for EU users on Jun 30, 2025 (Robinhood). A US resident who uses a VPN or an overseas account to get around these terms is outside the issuer’s terms, and the issuer can refuse to deal with them, including at redemption.

What should a US investor check before buying any token sold as a stock?

Five checks settle most cases in a few minutes, and the answer to the first one is often enough:

  • Does the issuer’s own document (not the app) say the product may be sold to US persons? If it says no, stop there.
  • Who sells it to you? A US firm selling securities should appear on FINRA BrokerCheck as a broker-dealer; a venue under the SEC exemption must have published its notice 30 days before operating.
  • Is it the share, a custodial claim or a synthetic note? Only the first two can trade under the SEC exemption, and only the first makes you a shareholder.
  • Where is it held? Inside a US brokerage account at a SIPC member, or in a wallet outside SIPC (which never covers market losses anyway)?
  • Can you redeem, and for what: shares, cash, or nothing unless you are a direct customer of the issuer?

Who should not chase tokenized stocks, and what are the limits of this answer?

Counterexample: a US investor who wants exposure to Apple or the S&P 500 for a retirement account has nothing to gain by waiting for tokens. A share or index ETF at a US broker gives the same price exposure today, with cash dividends, votes and SIPC coverage for missing assets (see SPY and SIPC coverage for large accounts). Tokens may later add 24/7 transfer and faster settlement; those help traders and institutions more than long-term savers. If what you want is cash yield on-chain, the tokenized fund route is a different product with its own risks, covered with stablecoins in are stablecoins safe?

  • Status is a snapshot from Oct 26, 2026. A DTCC go-live, a first venue notice or a Nasdaq trader alert would change parts of this page.
  • Eligibility comes from issuer pages and summary prospectuses; full prospectuses and local law govern, and terms change without notice.
  • The BUIDL row reflects the fund’s launch terms (Mar 2024); check the current offering documents.
  • The volume example uses hypothetical numbers; it shows the order’s arithmetic, not any real venue.

Frequently asked questions

Tokenized securities are legal and fall under the same securities laws as regular ones, the SEC staff said on Jan 28, 2026. What issuers cannot do is offer unregistered securities to US persons without an exemption; Robinhood, xStocks and Ondo sell under offshore rules, so they exclude US persons.

No. Robinhood says its Stock Tokens are debt securities of a Jersey company that may not be offered, sold or delivered in the United States or to US persons (terms read Oct 26, 2026).

No. Backed, the issuer, says xStocks may not be offered, sold or delivered within the United States or to US persons, and asks visitors to confirm they are not US persons.

A five-year conditional exemption granted Sept 17, 2026 that lets Tokenized Securities Venues trade tokenized shares of US-listed companies. Tokens must carry the same rights as the share, synthetics are excluded, and each venue, counted together with its affiliated venues, is limited to 75 Tier 1 and 250 Tier 2 symbols plus volume limits.

Not as of Oct 26, 2026: the SEC approved Nasdaq’s rule on Mar 18, 2026, but trading waits for DTC’s tokenization service. The dated status is tracked in our timeline, “Will stocks be tokenized?”.

Yes, in fund form. Franklin Templeton’s on-chain US government money fund, which records shares on public blockchains, accepts individuals through its Benji app with a $20 minimum for most accounts (summary prospectus, Aug 1, 2026). It is a money fund, not a stock.

Issuers offer them in the EU under securities law, for example Ondo under a prospectus approved by Liechtenstein’s regulator. MiCA, the EU crypto law, excludes tokenized shares because they are financial instruments.

Offshore stock tokens held in a crypto wallet are generally not. SIPC covers up to $500,000, including $250,000 of cash, at failed member brokers, and excludes crypto assets that are not registered securities.
